Description/Analysis

IssueDetail

Issue Detail: The Housing Authority of the City of Sacramento (HACS), desires to create a new instrumentality to acquire and hold property, which will expand HACS ability to provide affordable housing options in Sacramento. Canopy Housing, Inc., the new instrumentality, will be a nonprofit public benefit organization structured with the same Board of Directors as HACS, the Sacramento City Council, which will allow it to take advantage of the tax exemptions provided under California Assembly Bill 1528. Key advantages to having Canopy Housing hold property in lieu of HACS include stronger liability protection, access to diverse financing tools, and greater operational flexibility.

It is the intent of Canopy Housing to assist HACS in furthering its mission by diversifying its housing portfolio and providing housing across a broader spectrum of household incomes.

HACS will maintain full legal and practical control of Canopy Housing through its shared Board of Directors. Canopy Housing’s assets, operations, and management are legally and effectively controlled by the public housing authority (PHA), through which PHA functions or policies are implemented. If at a later date Canopy Housing is dissolved, all remaining assets will transfer back to HACS.
